Company Incorporation Cost in Malaysia: 2026 Guide

Table of Contents

Quick Summary:

The 1 April 2024 SSM fee waiver — still in force through 2026 — zeroes the RM1,000 incorporation fee for Sdn Bhd with paid-up capital up to RM500,000, putting a fully DIY MyCoID registration below RM400; a licensed secretary package in Kuala Lumpur runs RM800–RM2,500, before DBKL licences, lease stamp duty, and the 1 January 2026 e-Invoice mandate are added.

SSM Fee Waiver and Paid-Up Capital

The RM1,000 incorporation fee SSM charged under the 2017 fees regulations is gone. The October 2023 Budget speech announced the waiver, SSM implemented it on 1 April 2024, and it has remained in force continuously. It applies when the initial paid-up capital is RM500,000 or below — a band that covers nearly every new trading company, tech consultancy, e-commerce holding firm, and logistics asset-holder incorporated in Kuala Lumpur.

Only two SSM charges remain on the way in:

– Name reservation (MyCoID): RM30 per submission. Non-sensitive names clear the algorithm in under an hour during business days; names flagged into sensitive-class review go manual and take 7 to 14 working days at SSM in Putrajaya.

– Certificate of incorporation: no separate fee. The certificate is issued electronically through MyCoID the same day the application is approved.

The band nuance matters. Set paid-up capital above RM500,000 on day one and the graded fee schedule applies to the excess. The practical pattern among KL structuring firms is incorporating at RM500,000 and passing a capital-increase resolution later — SSM charges a filing fee for the subsequent increase, so the phased route only makes sense for businesses that genuinely need stronger capital in year one, such as contractors tendering for construction licences.

Secretary, Certificate, and Legal Costs

Section 235 of the Companies Act 2016 requires every Sdn Bhd to appoint a licensed secretary. The secretary’s name is a mandatory field on the incorporation application, so this cost is non-negotiable.

Full-service incorporation packages in Kuala Lumpur range from RM800 to RM2,500. What is inside the package determines the price gap:

– The RM30 name application and the Section 36 constitution (the standard form costs nothing; custom share-class or pre-emption clauses add RM300–RM800 in legal drafting)

– First 12 months of secretary retainer

– Registered address for SSM correspondence

– Digital certificate issuance

Budget packages at RM800–RM1,200 use a home address and a shared desk number. The RM2,000+ bracket rents a Grade A address in Bangsar South or near KL Sentral, sets up the mailroom, and guarantees same-day responses on any SSM notice.

Digital certificates come from MSC Trustgate, the only certification authority recognised for MyCoID e-lodgment. Budget RM250–RM500 per year. Most secretary quotes price it separately, and it expires annually.

After year one, the secretary retainer runs RM120–RM250 per month. That covers annual return drafting, statutory register upkeep, and resolution minutes — a recurring operational expense, not a line to strip out.

Registered Address and KL Premises Fees

The Companies Act 2016 demands a physical registered address in Malaysia. MyCoID rejects post office boxes, and the address sits in publicly visible company records. A home address is legal, but every bank letter, LHDN notice, and SSM reminder lands on a residential doorstep.

Virtual offices remain the cheapest compliance layer for non-retail businesses. IWG-run locations in KL Sentral and Bangsar South list RM199–RM399 per month; Malaysian operators like Mansion8 along the Jalan Ampang corridor charge RM100–RM300 per month. Mail handling and meeting-room credits are usually included; scan-and-forward of statutory mail is worth writing into the contract.

A business occupying physical space in KL falls under DBKL’s premises licensing regime. For an administrative or office activity code on a small municipal floor area, the annual fee commonly lands between RM100 and RM500. F&B, retail, and warehouse codes move upward and trigger fire-safety inspections separately.

The line nobody quotes is tenancy stamp duty. A RM3,000-per-month office lease is RM36,000 per annum; stamp duty at RM2 per RM250 of annual rent comes to RM288 for the first year. That figure appears in no secretary package in Malaysia.

Statutory Filings in the First Year

The annual return falls due within 30 days of the first incorporation anniversary. SSM charges RM30 to file it through MyCoID. The separate annual declaration fee was abolished together with the incorporation fee in the 2024 package, so an up-to-date company in 2026 pays RM30 flat for this filing every year.

Audit exemption follows the small-company test in Section 74 of the Companies Act 2016 as amended in 2024: annual revenue up to RM3 million, with the asset and headcount thresholds applied against the latest financial statements. Exempt companies declare the exemption in the annual return and skip the auditor. Dormant companies file a dormancy declaration and stay untouched by audit requirements entirely.

Miss the annual return cut-off and MyCoID applies escalating late charges. Two consecutive missed annual returns put a company on SSM’s strike-off list under Section 552 — a recovery process that is costlier than the RM30 filing ever was.

First-Year Audit, Tax, and E-Invoice Costs

The exemption eliminates the old RM1,500–RM4,000 first-year audit bill for most new service companies. But a bank facility, a foreign shareholder’s consolidation requirement, or a director’s own reporting standard can revive it. Clean first-year audit pricing from KL small-firm chartered accountants: RM1,500–RM3,500. The first Form C corporate tax return, prepared by a tax agent, adds RM500–RM1,500.

E-invoicing becomes mandatory for every remaining business in Malaysia on 1 January 2026 — including companies incorporated in 2026 with revenue under RM5 million. LHDN’s MyInvois portal is free but manual; any company issuing a few hundred invoices monthly should be on an API-integrated accounting package. AutoCount and SQL Account cloud tiers that push invoices to LHDN run RM99–RM150 per user per month. Payroll software such as PayrollPanda or Kakitangan.com adds RM70–RM150 monthly if the first hire happens quickly.

Total for a 2026 company: fully DIY through MyCoID with a home address is roughly RM400–RM600 in year one (RM30 name, RM300 certificate, RM30 annual return, RM0 e-invoices). A managed company in KL — secretary package, Ampang virtual office, API accounting, tax agent — lands at RM4,000–RM6,000 for the first 12 months. The divergence is almost entirely address and compliance outsourcing, not SSM fees.
